The Management Board of Polska Grupa Militarna S.A., headquartered in Warsaw (the Issuer), announces that on February 11, 2025, Proguns Group S.A., headquartered in Warsaw (Proguns Group), entered into a Memorandum of Understanding with Charter Trading Corporation (CTC), based in Texas (USA), under which Proguns Group will offer its customers UH-60 Blackhawk helicopters, spare parts and components for UH-60 Blackhawk helicopters, and a training program.
The offer will include helicopters acquired from the U.S. Armed Forces, intended for both civilian operations (rescue, search and rescue, firefighting, and other tasks) and military missions.
Under the agreement, Proguns Group has obtained exclusive rights from CTC to offer UH-60 Blackhawk helicopters in Poland. The agreement is valid until February 7, 2027.

The Issuer reminds that, in accordance with the content of ESPI Current Report No. 2/2025 dated January 29, 2025, the Issuer has agreed with Proguns Group on the terms and conditions for the subscription of Proguns Group shares. Based on the agreed terms, the Issuer will acquire Proguns Group shares representing at least 50.01% of the total number of votes at the Proguns Group General Meeting, and thus Proguns Group will become part of the Issuer’s Capital Group.
At the same time, in the Issuer’s opinion, the sale of UH-60 Blackhawk helicopters or parts and components for them, facilitated by Proguns Group, may have a significant impact on the financial results of Proguns Group and, in the future, on those of the Issuer’s Capital Group.
In light of the above, the Issuer has decided to publish, in the form of a current report, information regarding the conclusion by Proguns Group of an agreement concerning the brokerage of Blackhawk helicopter sales.
