The Management Board of Polska Grupa Militarna S.A., with its registered office in Warsaw (the Issuer), hereby announces that it has been informed that its subsidiary, Grupa Niewiadów S.A., namely Zakłady Sprzętu Precyzyjnego NIEWIADÓW sp. z o.o. (ZSPN), received on May 27, 2025, a letter titled “demand for the surrender of unjustly obtained benefits in connection with the use of trade secrets constituting know-how in the production of the GAK-81 smoke grenade.” According to the content of the letter in question, ZSPN was ordered to:
1. to surrender any unjust enrichment derived from the sale of products manufactured using the production and technological know-how for the GAK-81 air-dispersion screen (hereinafter referred to as “GAK-81 Know-How”);
2. to compensate for the damages resulting from the sale of grenades manufactured using the GAK-81 know-how;
3. and to take other practical steps, including submitting an offer setting forth the terms for the continued use of the GAK-81 Know-How, failing which we reserve the right to seek, among other things, an injunction to cease the use of the GAK-81 Know-How.
According to information obtained by the Issuer’s Management Board, the Management Board of ZSPN considers the tender offer to be devoid of any legal or factual basis. ZSPN will, with the assistance of legal counsel, take steps to protect itself against the unfounded claims made by the tender offeror, including measures aimed at safeguarding ZSPN’s reputation.
At the same time, the Issuer’s Management Board announces that, according to information received from ZSPN, the production and technological know-how related to the GAK-81 grenade for creating air-dispersion screens does not generate revenue that is material in relation to ZSPN’s total annual revenue.
