Statement on the Settlement Between ZSP Niewiadów and WIFAMA

Zakłady Sprzętu Precyzyjnego NIEWIADÓW Sp. z o.o. and WIFAMA Sp. z o.o. have announced that they have reached an agreement and concluded a settlement resolving intellectual property rights issues related to the technological solutions designated as GAK-81 and GM-81. The settlement concerns the case filed under case number XXII 626/25 at the Regional Court in Warsaw, 22nd Intellectual Property Division, and represents a significant step toward clarifying the relationship between the Parties and laying the groundwork for further technological and manufacturing cooperation.

The settlement agreement clearly defines the scope of rights held by each Party. Pursuant to its provisions, Zakłady Sprzętu Precyzyjnego NIEWIADÓW holds full rights to the technological solution, including the exclusive right to manufacture, offer, and market the GAK-81 product. Wifama will neither commercialize the GAK-81 solution nor challenge ZSP Niewiadów’s exclusivity regarding such commercialization. Each Party has the independent right to develop, manufacture, offer, and market the GM-81 product. WIFAMA is entitled to use those elements of GAK-81 that constitute a common part of both GAK-81 and GM-81 and are included in the GM-81 documentation. In practice, this allows for the unimpeded commercialization of GM-81 by each Party and the further development of this product through each Party’s independent right to develop,
manufacture, offer, and market development products based on elements common to GAK-81 and GM-81.

The agreement is not limited solely to addressing intellectual property issues. The parties have also reached a number of agreements regarding further technological development, including work on modernizing the GM-81 solution. These agreements provide for the possibility of conducting joint development projects, while each Party retains the right to conduct independent research and development in this area. This model of cooperation leaves room for both joint technological initiatives and the parallel development of industrial capabilities by each Party.

Another key element of the agreement is the establishment of a framework for production cooperation. The parties will collaborate by leveraging each other’s expertise, recognizing that continued cooperation is essential to the development of ZSP Niewiadów and WIFAMA.

The conclusion of the aforementioned agreement comes at a time of significant growth in demand for advanced technological solutions in the industrial and defense sectors in Europe. In recent years, there has been dynamic growth in modernization programs and an increase in production capacity in many countries across the region, leading to a growing demand for design, documentation, and manufacturing expertise in specialized components. In this context, clarifying intellectual property rights and establishing cooperation mechanisms between entities with complementary expertise can be a key factor enabling the further development of technological projects.

The parties emphasize that the settlement reached brings the current phase of disputes to a close while simultaneously opening up new opportunities for cooperation in the areas of technology development and industrial production. In the view of the parties to the agreement, the potential arising from the combination of both entities’ technological expertise and production capabilities may, in the future, translate into the implementation of projects with increasing market value. In the context of a rapidly
growing market, such projects also have significant price-setting potential, stemming both from the growing demand for specialized technological solutions and from the limited number of entities possessing the capabilities to develop and produce them.

The parties note that the settlement agreement primarily serves as a foundation for stable industrial relations and the further development of technological projects, which may in the future be carried out either through collaboration or through independent research and development initiatives by each of the parties.
