With reference to the content of ESPI Current Report No. 56/2025 dated September 3, 2025, the Management Board of Grupa Niewiadów – PGM S.A. (the Issuer), with its registered office in Warsaw, announces that today, the Issuer’s subsidiary, Zakłady Sprzętu Precyzyjnego Niewiadów sp. z o.o. (ZSP), in which the Issuer holds shares representing 100% of the share capital through Grupa Niewiadów S.A., signed a license agreement for the production of 40 mm ammunition (Agreement) with ST Engineering Advanced Material Engineering Pte. Ltd., headquartered in Singapore (AME).
Under the Agreement, AME grants ZSP, for an agreed fee, an exclusive license to use the technical data package and the necessary know-how for the production of 40 mm ammunition intended for the Polish Armed Forces and end users in 20 European countries that are members of the EU.
ZSP has agreed to pay AME a license fee for the technical documentation (including all necessary expertise) pertaining to 40 mm ammunition. In addition, the Agreement provides for the obligation to pay a license fee for each unit of 40 mm ammunition produced.
The agreement was entered into for a period of 30 years.
The Issuer notes that the Agreement provides for the possibility of transferring the rights and obligations under the Agreement to an entity in which ZSP holds at least a 51% stake.
