With reference to ESPI Report No. 9/2025 dated March 24, 2025, and No. 54/2025 dated August 25, 2025, the Management Board of Grupa Niewiadów-PGM S.A., with its registered office in Warsaw (the Issuer) hereby announces that on November 13, 2025, exercising the rights attached to the Series A, B, and C subscription warrants of Proguns Group S.A., with its registered office in Warsaw (Proguns Group), the Issuer submitted a declaration to subscribe for, within the framework of the registered conditional capital:
1) 490,000 Series W1 shares of Proguns Group, paying PLN 735,000 as the issue price for these shares;
2) 2,000,000 Series W2 shares of Proguns Group, by paying PLN 4,000,000 as the issue price for these shares;
3) 1,760,000 Series W3 shares of Proguns Group, paying PLN 2,640,000 as the issue price for these shares.
The Issuer’s Management Board announces that the issue price of the shares of series:
a) The price of the W1 Proguns Group shares referred to above is PLN 1.50 per share;
b) The price of the W2 Proguns Group shares referred to above is PLN 2.00 per share;
c) The price of the W3 Proguns Group shares referred to above is PLN 1.50 per share.
The Issuer’s Management Board reminds that, pursuant to Article 452(1) in conjunction with Article 451(2), second sentence, of the Commercial Companies Code, rights attached to the 4,250,000 fully paid-up shares of series W1, W2, and W3 of Proguns Group shall arise upon the registration of the shares in the Issuer’s securities account.
With reference to the content of ESPI’s current reports No. 10/2025 dated March 24, 2025, and No. 11/2025 dated March 28, 2025, the Issuer’s Management Board reminds that, as of today, including the Series W1, W2, and W3 shares referred to in this report, the Issuer has subscribed for and paid for 5,100,000 series W1, W2, and W3 shares of Proguns Group in exchange for a total issue price of PLN 8,650,000.00.
