60/2025 | Receipt of a complaint from Wifama, LLC

With reference to ESPI’s current reports No. 32/2025 dated May 28, 2025, and No. 52/2025 dated July 29, 2025, The Management Board of Grupa Niewiadów – PGM S.A., with its registered office in Warsaw, hereby announces that it has been informed that the Issuer’s subsidiary, Zakłady Sprzętu Precyzyjnego Niewiadów sp. z o.o. (ZSP), in which the Issuer holds shares representing 100% of the share capital through Grupa Niewiadów S.A., has received a lawsuit from Wifama sp. z o.o. (Wifama). The subject of the lawsuit is a demand for payment by ZSP of the amount of PLN 687,937.86 (six hundred eighty-seven thousand nine hundred thirty-seven zlotys eighty-six groszy) plus statutory interest for delay, from the date of service of the complaint until the date of payment, and an order requiring ZSP to submit a statement with the following content: “We hereby declare that Zakłady Sprzętu Precyzyjnego Niewiadów sp. z o.o., in the course of its business activities, unlawfully used information constituting a trade secret of Wifama sp. z o.o. in the form of know-how regarding the production of the GAK-81 grenade for creating air dispersion screens. We deeply regret this. Our actions have been deemed a violation of the trade secret belonging to Wifama sp. z o.o. This statement is submitted as a result of a lost court case, in accordance with the final judgment of the Court [court designation] dated [date of judgment], case no. [case number], issued in the case brought by Wifama sp. z o.o.”, along with ZSP’s indication of the case number, the date of the judgment, and the name of the court that issued the judgment in this case, on the website located at the URL: https://www.zspniewiadow.pl/index.html on the home page (Home Page), in the central upper part of the page (directly below the top menu), visible immediately upon opening the page without the need for any additional actions, written in Arial font with a size of no less than 20 pixels, line spacing 1.2, normal letter spacing, on a white background, within a frame no smaller than 600×300 pixels, without the use of any measures that diminish the significance, importance, and gravity of the text of the statement or hinder its readability, within 3 days from the date the judgment in the case becomes final; the statement must remain visible continuously for 30 days from the date of its publication, as well as the publication by ZSP of a statement with the aforementioned content, at its own expense, via the website https://www.pb.pl/ on the home page, visible immediately upon opening the page, at the top of the page, above other content, written in black Arial font with a size of no less than 20 pixels, line spacing of 1.2, normal spacing between letters, on a white background, within a frame of no less than 600×300 pixels, without the use of any measures that diminish the significance, the significance, status, and gravity of the text of the statement or hindering its readability, within 7 days of the date the judgment in the case becomes final; the statement must remain visible continuously for 30 days from the date of its publication.

According to information obtained by the Issuer’s Management Board, the Management Board of ZSP considers the lawsuit to be without legal or factual basis, and ZSP is taking steps, with the assistance of legal counsel, to defend itself against the unfounded claims set forth in the lawsuit.

The Issuer’s Management Board also notes that, in connection with Wifama’s prior actions, ZSP has filed a lawsuit against Wifama seeking:
1. an order requiring Wifama to cease infringing upon the good reputation (reputation) of ZSP by disseminating in the public domain, including through publication, transmission, sending, or making available to third parties and an unlimited circle of persons, in any form and by any means of communication, false information indicating or suggesting that:
a. ZSP, in violation of applicable law, infringed upon Wifama’s trade secrets by using documentation covering the technical specifications of the GAK-81 smoke grenade and the know-how contained therein regarding the production of GAK-81 smoke grenades without legal basis,
b. ZSP owes a debt to Wifama,
c. ZSP is obligated to compensate Wifama for damages resulting from the unauthorized use of GAK-81 know-how,
d. Wifama is the entity entitled to any rights to GAK-81 know-how,
2. ordering Wifama to remedy the effects of the infringement of ZSP’s good name (reputation), in particular by issuing a single or multiple statements with appropriate content and in an appropriate form.

By order of the Regional Court in Łódź, ZSP also obtained a preliminary injunction regarding the aforementioned claims against Wifama (Case No. 52/2025 dated July 29, 2025).
