56/2025 | Signing of a Memorandum of Understanding between ZSP Niewiadów Sp. z o.o. and ST Engineering Advanced Material Engineering Pte. Ltd. regarding the transfer of technology for the production of 40 mm ammunition

The Management Board of Grupa Niewiadów – PGM S.A., with its registered office in Warsaw, announces that on September 3, 2025, during the International Defense Industry Exhibition in Kielce, at the Issuer’s booth, the Issuer’s subsidiary, Zakłady Sprzętu Precyzyjnego Niewiadów sp. z o.o., in which, through Grupa Niewiadów S.A., the Issuer holds shares representing 100% of the share capital, signed a Memorandum of Understanding with ST Engineering Advanced Material Engineering Pte. Ltd.

The purpose of the agreement is to initiate a technology transfer process that will enable the launch of production in Poland of a family of 40 mm ammunition designed for automatic and single-shot grenade launchers. In the Issuer’s view, this represents a significant step in developing the domestic capabilities of the defense industry, strengthening technological sovereignty, and building international partnerships in the field of modern defense solutions.

40 mm ammunition is widely used by NATO armed forces and on global markets, including in automatic and single-shot grenade launchers. Demand for these types of products is steadily growing, driven by the modernization of allied armies, increased orders related to the current geopolitical situation, and the development of specialized ammunition (smoke, illumination, and programmable). The global market for this segment is estimated at hundreds of millions of U.S. dollars annually, which, in the Issuer’s opinion, creates significant revenue potential.

ST Engineering Advanced Material Engineering Pte. Ltd. (STEAME), headquartered in Singapore, specializes in the supply of advanced weapon systems and ammunition. The company has over 55 years of experience in military technologies, including the development and production of small arms, mortars, and medium- and large-caliber ammunition. STEAME’s solutions are used by armed forces in over 46 countries worldwide, making the company one of the key suppliers of defense technologies with proven operational effectiveness.

In accordance with the provisions of the Memorandum, within two months of its signing, the parties will define the specific terms of the agreement, including the rules of cooperation.

The Issuer’s Management Board considers this information to be material due to its strategic importance for the further development of the Niewiadów – PGM S.A. Group in the field of modern defense technologies. The signing of the Memorandum represents a key step in building and strengthening the Group’s capabilities in the transfer and implementation of advanced ammunition solutions, while also opening up the prospect of significant revenues resulting from growing domestic demand and opportunities for export expansion into European markets
