The Management Board of Niewiadów Polska Grupa Militarna S.A., with its registered office in Warsaw (the Issuer), announces the signing of a memorandum of cooperation (the Memorandum) with ZTS – ŠPECIÁL a.s., with its registered office in Dubnica nad Váhom (Slovakia) (ZTS).
The purpose of this Memorandum is to establish the general principles governing cooperation between the parties in the field of defense technologies, specifically with regard to: (a) artillery systems and medium-caliber weapons manufactured by ZTS, (b) the integration of ZTS weapon systems with land, air, and sea platforms, and (c) the development of joint industrial, technological, and commercial ventures in Poland and in selected third-party markets.
In accordance with the provisions of the Memorandum, the parties intend to cooperate, in particular, in the following areas: (a) identifying defense procurement tenders and opportunities in Poland, (b) industrial cooperation with Polish defense sector manufacturers, (c) integration of ZTS systems with platforms manufactured or used in Poland, and (d) participation in offset, localization, or technology programs.
This Memorandum does not impose any financial or legal obligations on the parties. The specific scope, schedule, and rules governing the financing and settlement of any projects carried out pursuant to this Memorandum will be set forth in separate, binding implementation agreements on a case-by-case basis.
The memorandum was signed for a period of five years.
The Issuer notes that ZTS – ŠPECIÁL is a Slovak state-owned defense contractor specializing in the production of artillery, barrels, and weapon systems. ZTS-ŠPECIÁL is a major player in the Central European defense sector, supplying weapons both to the Slovak Army and for export.
