The Management Board of Niewiadów Polska Grupa Militarna S.A., with its registered office in Warsaw (the Issuer), hereby announces that on April 23, 2026, the Issuer and its subsidiary, Zakłady Sprzętu Precyzyjnego Niewiadów sp. z o.o. (ZSP), in which the Issuer holds shares representing 100% of the share capital through Grupa Niewiadów S.A., established a company under the name Niewiadów Warhead Systems S.A. (Niewiadów Warhead Systems). The Issuer acquired shares representing 25% of the capital and voting rights of Niewiadów Warhead Systems, while the remaining shares were acquired by ZSP.
With the support of the companies within the Issuer’s Capital Group, Niewiadów Warhead Systems will focus on the production of specialized warheads designed for unmanned weapon systems. The production of warheads will take place in close cooperation with Tech Robotics S.A.
Niewiadów Warhead Systems aims to develop a product portfolio with diverse tactical applications, encompassing both training and combat solutions. This product lineup is designed to support the entire end-user preparation cycle, from training, through testing and simulation, to operational deployment. Niewiadów Warhead Systems will focus on delivering solutions tailored to the modern battlefield’s requirements, taking into account the armed forces’ needs for precision, effectiveness, and flexibility of use. The company anticipates that its products will address the growing needs of the Polish Armed Forces and other users of unmanned systems, supporting the development of modern defense capabilities. Unmanned weapon systems currently represent one of the most significant trends on the modern battlefield, and the dynamic growth of this equipment category means that hundreds of unmanned platform manufacturers are active worldwide today, alongside a constantly growing demand for specialized, compatible weaponry.
As planned, Niewiadów Warhead Systems’ product portfolio will include four main product groups: training warheads, high-explosive fragmentation warheads, thermobaric warheads, and shaped-charge fragmentation warheads.
Training warheads (INERT) will be used to train operators and maintenance personnel in the safe handling of warheads, conducting flights with combat warheads, and simulated attacks on targets. These products will not contain explosives, while retaining the full functionality characteristic of combat warheads.
High-explosive (HE) warheads are designed to engage targets using the kinetic energy of fragments and the shock wave generated by detonation. This solution will be used primarily to engage enemy personnel, field fortifications, and machine gun nests.
Thermobaric warheads (TBX) will be designed to engage personnel, lightly armored vehicles, field shelters, ammunition depots, EW systems, and other field fortifications, as well as selected critical infrastructure targets within enclosed structures. The primary damaging factors will be the shock wave and high temperatures generated by the explosion.
High-explosive anti-tank (HEAT) warheads will be designed to engage tanks—particularly from the upper hemisphere—and other armored combat vehicles. Armor penetration will be achieved by a properly shaped high-explosive jet, whose energy will enable effective destruction and penetration of the target, while also producing a fragmentation effect.
In the opinion of the Issuer’s Management Board, by leveraging the resources of the Issuer’s Capital Group, Niewiadów Warhead Systems has the potential to become a leader in the production of specialized warheads for unmanned weapon systems in Poland and Europe.
