17/2026 | Additional information regarding the settlement agreement with Wifama sp. z o.o.

The Management Board of NIEWIADÓW POLSKA GRUPA MILITARNA S.A. (“the Company”), with reference to ESPI Report No. 16/2026 dated April 2, 2026, regarding the settlement reached with Wifama sp. z o.o., hereby provides supplementary information to the aforementioned report.

The settlement agreement specifically concerns the case filed under case number XXII GW 626/25 in the Regional Court in Warsaw, 22nd Intellectual Property Division, and sets forth the terms for exercising rights to the technological solutions designated as GAK-81 and GM-81. Pursuant to its provisions, Zakłady Sprzętu Precyzyjnego NIEWIADÓW holds full rights to the technological solution, including the exclusive right to manufacture, offer, and market the GAK-81 product. WIFAMA will neither commercialize the GAK-81 solution nor challenge ZSP Niewiadów’s exclusivity regarding such commercialization. Each Party has the independent right to develop, manufacture, offer, and market the GM-81 product. WIFAMA is entitled to use those elements of GAK-81 that constitute a common part of both GAK-81 and GM-81 and are included in the GM-81 documentation. In practice, this allows for the unimpeded commercialization of GM-81 by each Party and the further development of this product through each Party’s independent right to develop, manufacture, offer, and market development products based on elements common to GAK-81 and GM-81.

The agreement also sets forth the terms governing the further development of technologies related to the GM-81, including the possibility of conducting development and modernization work on this solution, both jointly by the Parties and independently by each of them. At the same time, the Parties have agreed on a framework for their manufacturing cooperation. The Parties will cooperate in the mutual utilization of their respective expertise, recognizing that continued cooperation is an essential element in the development of ZSP Niewiadów and WIFAMA.

The settlement resolves the existing disputes between the Parties and clarifies issues related to intellectual property concerning the specified technological solutions. In the opinion of the Company’s Management Board, clarifying the rights to the technical documentation and establishing the terms of production cooperation creates a stable foundation for the continued use of these solutions in industrial projects carried out by ZSP Niewiadów.

The Company’s Management Board notes that, given the growing demand for specialized technological solutions in the industrial and defense sectors, clarifying the legal and technological relationships between entities with complementary expertise may facilitate the implementation of projects of significant market importance in the future.
