The Management Board of Niewiadów Polska Grupa Militarna S.A., with its registered office in Warsaw (the Issuer), announces that on April 2, 2026, a subsidiary of the Issuer, namely Zakłady Sprzętu Precyzyjnego Niewiadów sp. z o.o. (ZSP), in which the Issuer holds shares representing 100% of the share capital through Grupa Niewiadów S.A., entered into a settlement agreement with Wifama sp. z o.o. (Wifama) regarding the resolution of intellectual property rights issues and the terms of further cooperation between the parties to the settlement (the Settlement).
Pursuant to the Settlement Agreement, ZSP holds full rights to the technological solution, including the exclusive right to manufacture, offer, and market the GAK-81 smoke grenade (GAK-81). At the same time, pursuant to the Agreement, Wifama will not commercialize the GAK-81 or challenge ZSP’s exclusivity regarding such commercialization.
Pursuant to the Settlement Agreement, the parties are not obligated to make any monetary payments to one another.
The settlement agreement provides the basis for ZSP to commercialize the GAK-81 product without hindrance and to continue developing it, including the research, development, production, offering, and marketing by ZSP of products based on GAK-81.
The Issuer’s Management Board notes that the conclusion of the Settlement resolves the existing disputes between the parties and clarifies issues related to the intellectual property rights to GAK-81, thereby establishing a stable foundation for the continued use of these solutions in industrial projects carried out by ZSP.
The Issuer’s Management Board reminds readers that the Issuer reported on the dispute with Wifama in ESPI current reports No. 60/2025 dated September 16, 2025, No. 52/2025 dated July 29, 2025, and No. 32/2025 dated May 28, 2025.
