13/2026 | Memorandum of Cooperation with Explosia a.s. regarding high-energy materials and the development of ammunition projects

The Management Board of Niewiadów Polska Grupa Militarna S.A., with its registered office in Warsaw (the Issuer), announces that on March 24, 2026, the Issuer’s subsidiary—Zakłady Sprzętu Precyzyjnego Niewiadów sp. z o.o. (ZSP), in which the Issuer holds shares representing 100% of the share capital through Grupa Niewiadów S.A., entered into a memorandum of cooperation (Memorandum) with Explosia a.s., headquartered in Semtín, Czech Republic (Explosia).

The main objective of the cooperation is to secure supplies of key high-energy materials and modular charges necessary for the planned ammunition production. In particular, the agreement covers access to strategic raw materials such as nitrocellulose, RDX, and PETN.

According to the Memorandum, ZSP intends to provide Explosia with access to selected technical resources and test facilities for the purpose of conducting research, ballistic testing, and development work related to propellants and ammunition.

The Issuer notes that the signing of the Memorandum is part of efforts to build long-term industrial cooperation within the European defense sector and is aimed, in particular, at strengthening the security of supply for key components used in ammunition production within the Issuer’s Group.

This Memorandum does not impose any financial obligations on the Parties. The specific scope of projects, the schedule, the financing terms, and the settlement procedures for projects carried out pursuant to this Memorandum will be set forth in separate, binding implementation agreements on a case-by-case basis.

The memorandum was entered into for a period of five years from the date of its signing.

The Issuer notes that Explosia a.s. is one of Europe’s leading manufacturers of high-energy materials, as well as propellants and propellant-forming agents used in the production of ammunition and weapon systems. The company conducts research, development, manufacturing, and service activities in the field of energetic materials for the defense, security, and civilian sectors and is a strategic enterprise of the Czech Republic operating in the defense sector.
