The Management Board of Niewiadów Polska Grupa Militarna S.A., with its registered office in Warsaw (the Issuer), announces that on March 10, 2026, the Issuer entered into a Memorandum of Understanding (MoU) with Zakłady Sprzętu Precyzyjnego Niewiadów sp. z o.o. (ZSP) and Tech Robotics S.A. (Tech Robotics), which are companies comprising the Issuer’s Capital Group.
The purpose of the MoU is to establish general principles for cooperation between the Parties in the development and implementation of drone technology, including for combat and defense applications, particularly with regard to the development and implementation of warheads for use in drones.
Under the MoU, the Parties will cooperate to develop, by leveraging ZSP’s production capacity as well as the Parties’ expertise and experience, warheads and payloads for the production and arming of drones with various applications and characteristics, including both general-purpose and solution-specific models.
The parties to the MoU plan to enter into a joint venture agreement and build a dedicated factory. As part of their future cooperation, the parties are considering the possibility of establishing a special-purpose vehicle dedicated to the production of warheads and payloads used in the manufacture and arming of drones, and Tech Robotics intends to build an assembly and composites center for drones and plans to acquire the necessary technological infrastructure for this purpose.
The specific scope, schedule, and financial terms of any projects implemented pursuant to the MoU will be set forth in separate, binding implementation agreements on a case-by-case basis.
The signing of the MoU is the result of the consistent implementation of the strategy to establish the Issuer’s Capital Group’s presence in the defense market, particularly in the rapidly growing drone market.
