The Management Board of Niewiadów Polska Grupa Militarna S.A., with its registered office in Warsaw (hereinafter: “the Issuer”), hereby announces that on February 26, 2026, the District Court for the Capital City of Warsaw in Warsaw, 14th Commercial Division of the National Court Register, registered amendments to the Issuer’s Articles of Association, adopted by Resolution No. 7 of the Issuer’s Extraordinary General Meeting of October 31, 2025, which the Issuer disclosed in EBI Current Report No. 28/2025.
The registered amendments to the Issuer’s Articles of Association concern the addition of § 9(1) to the Issuer’s Articles of Association, which reads as follows:
The share capital was conditionally increased, pursuant to Resolution No. 7 of the Company’s Extraordinary General Meeting held on October 31, 2025, by an amount not exceeding PLN 400,000.00 (four hundred thousand zlotys), through the issuance of no more than 4,000,000 (four million) Series L bearer shares with a par value of PLN 0.10 (ten groszy) each, for the purpose of granting rights to subscribe for Series L shares to the holder of Series L subscription warrants, excluding preemptive rights.
